Non-Disclosure & Digital License Agreement

NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement (“Agreement”) is entered into between Tay The Perfectionist LLC (“Disclosing Party”) and the undersigned participant (“Receiving Party”).

1. Purpose

The Receiving Party is being granted access to a private educational training, class, or demonstration that includes proprietary techniques, systems, methods, concepts, vendor information, and intellectual property related to crochet hair services (“Confidential Information”).

2. Confidential Information

Confidential Information includes, but is not limited to:

• Crochet techniques and knotting methods
• Installation systems and processes
• Class content, demonstrations, and materials
• Vendor sources and hair specifications
• Any recordings, screenshots, notes, or reproductions of the training

3. Non-Disclosure & Non-Use

The Receiving Party agrees that they shall:

• Not disclose, share, teach, reproduce, sell, or distribute any Confidential Information
• Not record (audio, video, screen capture) any portion of the training
• Not post or share any part of the technique on social media, online platforms, or in-person instruction

This applies both during and after the training.

4. Ownership

All Confidential Information remains the sole intellectual property of Tay The Perfectionist LLC.

This Agreement does not grant ownership, licensing, or resale rights of any kind.

5. Remedies

The Receiving Party acknowledges that unauthorized disclosure or use may cause irreparable harm.

The Disclosing Party is entitled to seek injunctive relief, damages, and any other legal remedies available.

6. Term

This Agreement remains in effect indefinitely.

7. Governing Law

This Agreement shall be governed by the laws of the State of Texas.
